• Cashback Systems: Reward tiers, automated distribution, and loyalty programs

3. Client Responsibilities

As a client of StakeLab.ai, you agree to:

• Respond to communications and requests in a timely manner
• Ensure you have the legal right to use any content or data provided to us
• Comply with all applicable laws and regulations in your jurisdiction
• Not use our services for any illegal or unauthorized purpose

4. Project Agreements

Individual projects will be governed by separate agreements that may include:

• Detailed scope of work and deliverables
• Timeline and milestones
• Pricing and payment terms
• Specific terms related to the project

In case of conflict between these Terms and a project agreement, the project agreement shall prevail for that specific project.

5. Intellectual Property

Our Property

StakeLab.ai retains all rights to:

• Our proprietary tools, frameworks, and methodologies
• Pre-existing code libraries and components
• Our brand, logo, and website content

Client Property

Upon full payment, clients receive ownership rights to:

• Custom code developed specifically for their project
• Project-specific documentation and assets

Specific intellectual property terms will be detailed in individual project agreements.

6. Payment Terms

• Payment terms will be specified in individual project agreements
• Late payments may result in project delays or suspension
• All fees are non-refundable unless otherwise specified
• Clients are responsible for any applicable taxes

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our business relationship. This includes:

• Business strategies and plans
• Technical specifications and code
• Financial information
• Any information marked as confidential

Additional confidentiality terms may be established through a separate Non-Disclosure Agreement (NDA).

8. Limitation of Liability

To the maximum extent permitted by law:

• StakeLab.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim
• We are not responsible for any losses resulting from circumstances beyond our reasonable control

9. Warranties and Disclaimers

StakeLab.ai provides services on an "as is" basis. We make no warranties, express or implied, regarding:

• The suitability of our services for your specific needs
• Uninterrupted or error-free operation of delivered systems
• Results or outcomes from using our services

We do warrant that we will perform services with reasonable skill and care consistent with industry standards.

10. Indemnification

You agree to indemnify and hold harmless StakeLab.ai, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any third-party rights
• Any content or data you provide to us

11. Termination

Either party may terminate the business relationship with written notice. Upon termination:

• All outstanding payments become immediately due
• Each party shall return or destroy confidential information
• Provisions that by their nature should survive will remain in effect

12. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes shall be resolved through good-faith negotiation, and if necessary, through appropriate legal channels.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of our services after changes constitutes acceptance of the new terms.
